Metronome Inc. (Headquarters: Minato-ku, Tokyo; CEO: Koichi Azuma), a member of our group, is pleased to announce that it has entered into a business transfer agreement to acquire the rental wear business operated by Dunkit Inc. (Headquarters: Minato-ku, Tokyo; President & CEO: Kazuma Kotani, hereinafter “Dunkit”). The business transfer will take effect on September 1, 2025, at which time we will commence operations of the acquired business.

▶ Purpose of the Business Transfer

Dunkit has been operating the subscription-based rental wear service “Dunkit,” which supports a more convenient gym lifestyle. The service enables users to rent fitness wear (such as towels, socks, and shoes) directly from an app within fitness gyms, making it possible to visit gyms empty-handed. In February 2025, Dunkit raised funds through the issuance of J-KISS-type stock acquisition rights in a seed round led by XTech Ventures. With this funding, Dunkit further developed its product and expanded the number of gyms adopting the service.

Meanwhile, our company operates “GYM CLOUD,” Japan’s largest subscription service for training machines and fitness equipment, supporting both new gym openings and equipment renewals nationwide. Through this acquisition, we will be able to further enhance the convenience and vitality of gyms introducing our training machines, while also providing continuous support services for our partner gyms. By expanding our services and strengthening our customer base, we aim to deliver even greater value-added services to our clients.

▶ Future Outlook

Following the transfer, the business name will be renewed from the subscription-based rental wear service “Dunkit” to “RE:WEAR FIT.” Beyond expanding into fitness facilities, we see significant growth opportunities in the corporate wellness market (such as in-house gyms) supported by “GYM CLOUD.” We will continue to promote the creation of more accessible training environments, accelerate initiatives not only in fitness equipment installation but also in providing related after-installation services, and expand our business domain.

In addition, the application is currently undergoing a full renewal. We are also preparing to launch an upgraded IoT-based bag service as part of this business evolution.
